Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between VS Campus Care ("VSCC", "we", "us" or "our") and the entity or individual ("you", "Customer" or "Institution") accessing our website (the "Website") or using our multi-tenant school management platform, mobile applications and related services (collectively, the "Service").

By accessing the Website, registering for an account, or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you accept these Terms on behalf of an institution, you represent that you have the authority to bind that institution. If you do not agree, you must not use the Service.

Where a signed master service agreement or order form exists between you and VSCC, its terms prevail over these Terms to the extent of any conflict.

• "Service" — the VS Campus Care platform, portals, mobile applications, APIs, documentation and support.
• "Customer Data" — all data submitted to the Service by or on behalf of an Institution, including student, parent, staff, academic, financial and operational records.
• "Authorised Users" — administrators, teachers, staff, students and parents/guardians granted access under the Institution's subscription.
• "Subscription Term" — the period for which the Institution has subscribed to the Service, including renewals.
• "Order" — a plan selection, order form or invoice describing the modules, student count, fees and billing frequency.

• The Institution is responsible for the accuracy of registration information and for maintaining the confidentiality of all credentials issued to it and its Authorised Users.
• Each Authorised User must access the Service only through their own account. Credential sharing is prohibited.
• The Institution is responsible for all activity under its tenant, including the acts and omissions of its Authorised Users, and must notify us promptly of any suspected unauthorised access.
• We may suspend accounts that present a security risk, are used in breach of these Terms, or have overdue undisputed fees, after reasonable notice where practicable.

• Plans and pricing. Fees are as stated on our pricing page or your Order, and may include a base price plus per-student charges above an included threshold.
• Billing. Fees are payable in advance for each billing period (monthly, term-wise or yearly, as selected). All fees are exclusive of applicable taxes (including GST), which are your responsibility.
• Renewal. Subscriptions renew automatically for successive periods equal to the then-current billing period unless either party gives notice of non-renewal before the renewal date.
• Late payment. Undisputed invoices unpaid past the due date may attract suspension of access after 15 days' written notice. Access is restored promptly upon payment.
• Price changes. We may revise pricing with at least 30 days' notice; revised prices apply from the next renewal, never mid-term.
• Refunds. Except as expressly stated in these Terms or required by law, fees are non-refundable. Pro-rated refunds apply where we terminate for convenience or where you terminate for our uncured material breach.

You must not, and must not permit any Authorised User or third party to:

• use the Service in violation of any applicable law or regulation, or for any purpose other than legitimate school administration and education management;
• upload content that is unlawful, defamatory, infringing, or that contains malware or harmful code;
• attempt to gain unauthorised access to the Service, other tenants' data, or our infrastructure, or probe, scan or test the vulnerability of any system without our prior written consent;
• reverse engineer, decompile, copy, resell, sublicense, rent or lease the Service, or build a competing product using the Service;
• use automated means to scrape or extract data from the Service beyond documented APIs;
• interfere with or disrupt the integrity or performance of the Service, including imposing an unreasonable load on our infrastructure.

We may investigate suspected violations and remove or disable content that breaches these Terms.

• You own your data. The Institution retains all right, title and interest in Customer Data. We claim no ownership over it.
• Our licence. You grant us a limited, non-exclusive licence to host, process, transmit and display Customer Data solely to provide and support the Service, comply with law, and maintain security.
• Data protection. We process Customer Data as a processor/service provider on the Institution's instructions, in accordance with our Privacy Policy and applicable data protection laws, including the Digital Personal Data Protection Act, 2023.
• Your responsibilities. The Institution is responsible for the lawfulness of Customer Data, for obtaining all required consents (including parental/guardian consents for minors), and for the accuracy of data entered by its users.
• Data export & deletion. You may export Customer Data at any time during the Subscription Term. Following termination, we make export available for 30 days, after which Customer Data is deleted or anonymised within 90 days, except as retention is required by law.
• Aggregate data. We may use de-identified, aggregated data that does not identify any person or Institution to operate, benchmark and improve the Service.

The Service — including its software, design, interfaces, documentation, trademarks and logos — is owned by VSCC and its licensors and is protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant the Institution a limited, non-exclusive, non-transferable right to access and use the Service during the Subscription Term for its internal educational operations.

If you provide feedback or suggestions, we may use them without restriction or obligation. No rights are granted except as expressly set out in these Terms.

Each party may receive non-public information of the other that is marked confidential or would reasonably be understood to be confidential ("Confidential Information"). The receiving party must protect it with at least the same care it uses for its own confidential information (and no less than reasonable care), use it only to perform under these Terms, and not disclose it except to personnel and advisers bound by confidentiality obligations, or where disclosure is required by law with prompt notice to the other party where lawful.

These obligations survive for three (3) years after termination; obligations relating to personal data and trade secrets survive for as long as protected by law.

• Uptime. We target 99.9% monthly availability of the Service, excluding scheduled maintenance (announced in advance where practicable) and events beyond our reasonable control.
• Support. Support is available via email at info@vscampuscare.com during business hours (IST), with severity-based response targets for paying customers.
• Updates. We continually improve the Service and may add, modify or retire features, provided we do not materially degrade the core functionality you have paid for during a Subscription Term.
• Backups. We maintain regular encrypted backups and tested restoration procedures as part of our business continuity programme.

The Service may interoperate with third-party services chosen by you or us — such as payment gateways, SMS/email providers or video conferencing tools. Your use of a third-party service is governed by that provider's own terms and privacy policy, and we are not responsible for third-party services we do not control. Payment transactions are processed by regulated payment providers; we do not store card details on our servers.

We warrant that (a) the Service will perform materially in accordance with its documentation, and (b) we will provide it with reasonable skill and care and industry-standard security practices.

Except as expressly stated, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free, and outputs of the Service (such as reports) depend on the accuracy of data entered by the Institution and its users.

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data (other than data loss caused by our failure to maintain the safeguards described in these Terms).
• Each party's total aggregate liability arising out of or relating to the Service is limited to the fees paid or payable by the Institution in the twelve (12) months preceding the event giving rise to the claim.
• Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law. The liability cap does not apply to your payment obligations or to either party's breach of the Acceptable Use section or misappropriation of the other's intellectual property.

By us. We will defend and indemnify the Institution against third-party claims alleging that the Service, as provided by us and used in accordance with these Terms, infringes a third party's intellectual property rights, and will pay resulting damages finally awarded or agreed in settlement. If such a claim arises, we may modify the Service, procure the necessary rights, or terminate the affected subscription with a pro-rated refund.

By you. The Institution will defend and indemnify VSCC against third-party claims arising from (a) Customer Data, including any failure to obtain required consents; (b) use of the Service in violation of law or these Terms; or (c) disputes between the Institution and its Authorised Users, students, parents or staff.

The indemnified party must give prompt notice, reasonable cooperation, and sole control of the defence to the indemnifying party.

• Term. These Terms apply from your first use of the Service and continue through the Subscription Term and any renewals.
• Termination for cause. Either party may terminate if the other materially breaches these Terms and fails to cure within 30 days of written notice, or becomes insolvent.
• Termination for convenience. You may cancel effective at the end of the current billing period. We may terminate for convenience on at least 90 days' notice with a pro-rated refund of prepaid unused fees.
• Effect of termination. Access ceases at the end of the Subscription Term; data export and deletion follow the Customer Data section. Sections that by their nature should survive (including confidentiality, liability and governing-law provisions) survive termination.

Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, governmental action, utility or internet failures, or denial-of-service attacks, provided the affected party uses reasonable efforts to mitigate and resumes performance as soon as practicable.

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The parties will first attempt in good faith to resolve any dispute through escalation to senior management within 30 days. Failing resolution, disputes shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated in India, conducted in English. Subject to the foregoing, the courts of India have exclusive jurisdiction. Either party may seek injunctive relief in court for breach of confidentiality or intellectual property obligations.

• Changes to these Terms. We may update these Terms with at least 15 days' notice by posting on this page and, for material changes affecting subscribers, by email or in-app notice. Changes apply from the stated effective date; continued use constitutes acceptance.
• Assignment. Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger or sale of substantially all assets, with notice.
• Notices. Legal notices must be in writing — to us at info@vscampuscare.com, and to you at the administrative email registered on your account.
• Entire agreement & severability. These Terms, the Privacy Policy and any Order form the entire agreement. If any provision is held unenforceable, the remainder continues in effect.
• No waiver. A failure to enforce any provision is not a waiver of the right to enforce it later.
• Relationship. The parties are independent contractors; these Terms create no partnership, agency or employment relationship.
